A., and Porto Rico Gas & Coke C om pany, be and they are hereby exempted to the extent specified from certain provisions of the Act applicable to them as sub sidiary companies of Consolidated Elec tric and Gas Company, a registered hold ing company as follows:
a Section 6 of the Act, except that this exemption shall not extend to any issue or sale of securities which are to be offered for sale within the United States other than to Islands Gas and Electric Company, or to any exercise of a privi lege or right to alter the priorities, pref erences, voting power, or any other right of the holders of any se c u rity which, prior to the exercise of such p rivilege or right shall have been offered for sale within the United States, other th a n se curities which are owned or held, directly or indirectly, by associate c om p an ie s in the United States;
b Section 9 of the Act, except that this exemption shall not apply to th e ac quisition of any utility assets located within the United States or to the acqui sition of any interest in the business of, or securities issued or guaranteed b y any public utility or holding company, w hich directly or indirectly, owns or controls utility assets located within the U nited States;
c Section 13 of the Act w it h respect to any transactions, except the p erfo rm
ing of services or construction fo r, o r the sale of goods to any public-utility hold ing company, or subsidiary t h e r e o f which is a public-utility company, operatin g within the United States;
d Section 17 c of the Act; a n d e Section 15 of the Act, unless rules, regulations or orders promulgated b y the Commission pursuant to the provisions of such section shall by their term s be made expressly applicable to a com pany which is not, and which has no subsidiary company which is, a public-utility com pany operating in the United States; and f Sections 11 g and 12 e of the Act provided, however, that such exemp tion shall not be applicable to any solici tation regarding any securities, other than securities owned by Consolidated Electric and Gas Company, or other as sociates of the issuer, which have been the subject of a public offering within the United States.
