NOTICE REGARDING FILING

At a regular session of the Securities and Exchange Commission, held at its office in the City of Philadelphia, Pa., on the 5th day of June, A. D., 1945.
Notice is hereby given that an appli cation or declaration dr both has been filed with this Commission pursuant to the Public Utility Holding Company Act of 1935 by Union Electric Company of Missouri, a registered holding company;
and Notice is further given that any inter ested person may, not later than June 15,1945, at 5:30 p. m., e. w. t., request the Commission in writing that a hearing be held on such matter, stating the reasons for such request and the nature of his interest, or may request that he be no tified if the Commission should order a hearing thereon. At any time there after, said application or declaration, as filed or as amended, may be granted, as provided in Rule U-23 of the Rules and Regulations promulgated pursuant to said Act, or the Commission may exempt such transactions as provided in Rule U-20 a and Rule U-100 thereof. Any such request should be addressed: Sec retary, Securities and Exchange Com mission, 18th and Locust Streets, Phila delphia 3, Pennsylvania.
All interested persons are referred to said application or declaration which is on file in the office of the said Commis sion, for a statement of the transactions therein proposed, which are summarized as follows:
Union Electric Company of Missouri proposes: a to issue its promissory notes in the aggregate face amount of $9,000,000, dated June 28, 1945, m atur ing December 28, 1945, and bearing in terest at the rate of 1 V2 % per annum, payable quarterly, and b to deliver such notes in exchange for and cancela tion of its presently outstanding promis sory notes which are held by 44 com mercial banks in the aggregate amount of $9,000,000, dated June 28, 1944, bear ing interest at.1%% per annum, and ma turing June 28,1945. The presently out standing notes were heretofore author ized by order of this Commission, dated April 19, 1944 Holding Company Act Release No. 5005. The maturity date as originally provided for by the terms of the presently outstanding notes was March 28,1945, which date was extended by the Company to June 28,1945, pursu ant to an order of this Commission dated March 27, 1945 Holding Company Act Release No. 5684.
