TIME AND PLACE FOR TAKING TESTIMONY
This matter being at issue and ready fo r the taking of testimony, and pursuant to authority vested in the Federal Trade Commission, under an Act o f Congress 38 Stat. 717; 15 U.S.C.A., Section 41
I t is ordered that Edward E. Reardon, an examiner of this Commission, be and he hereby is designated and appointed to take testimony and receive evidence in this proceeding and to perform all other duties authorized by law;
I t is further ordered, That the taking of testimony in this proceeding begin on Monday, March 4, 1940, at ten oclock in the forenoon of that day central standard time in Room 1121, New Post Office Building, 433 West Van Buren Street, Chicago, Illinois.
Upon completion of testimony for the Federal Trade Commission, the exam iner is directed to proceed immediately to take testimony and evidence on be half of the respondent. The examiner will then close the case and make his report upon thelevidence.

New Bedford Gas and Edison Light Company having filed an application pursuant to Section 6 b for exemption from the provisions of Section 6 a of the Public Utility Holding Company Act of 1935 o f the issue and private sale to New England Mutual Life Insurance Company at par plus accrued interest of unsecured notes, Second Series 3% due 1955 in the aggregate face amount of $500,000;
A public hearing1 having been duly held after appropriate notice; the Com mission having examined the record in this matter;
I t is ordered, That the application of New Bedford Gas and Edison Light Com pany pursuant to Section 6 b of the Act regarding the issuance and sale of $500,000 face amount of Second Series 3% unsecured notes due 1955 be and the same hereby is approved, subject, how ever, to the following terms and con ditions:
1. That such issue and saie of the notes shall be in compliance with the terms and conditions of and for the pur poses represented by said application, as amended;
2. That such exemption shall immedi ately terminate without further order of this Commission if at any time the authorization by the Massachusetts De partment of Public Utilities shall be revoked, or shall otherwise terminate;
3. That within ten days after the is sue and sale of such notes, the applicant shall file with this Commission its cer tificate of notification showing that the issue and sale of the notes have been effected in accordance with the terms and conditions of and for the purposes represented by said application, as amended;
4. That when all expenses incurred in connection with the issuance of the note shall have been determined, the appli cant shall file a detailed statement of such expenses showing the names of the person or persons, entity or entities to whom paid, the amount paid, the ac15 F. R. 288.

NOTICE OF AND ORDER FOR HEARING
An application pursuant to the Public Utility Holding Company Act of 1935, having been duly filed with this Commis sion by the above-named party;
I t is ordered, That a hearing on such matter under the applicable provisions of said Act and the rules of the Commission thereunder be held on March 7, 1940, at 10:00 oclock in the forenoon of that day, at the Securities and Exchange Building, 1778 Pennsylvania Avenue, NW., Wash ington, D. C. On such day the hearingroom clerk in room 1102 will advise as to the room where such hearing will be held.
At such hearing, if in respect of any declaration, cause shall be shown why such declaration shall become effective.
I t is further ordered, That William W.
Swift or any other officer or officers of the Commission designated by it for that purpose shall preside at the hearings in such matter. The officer so designated to preside at any such hearing is here by authorized to exercise all powers granted to the Commission under sec tion 18 c of said Act and to a trial examiner under the Commissions Rules of Practice.
Notice of such hearing is hereby given to such declarant or applicant and to any other person whose participation in such proceeding may be in the public interest or for the protection of inves tors or consumers. It is requested that any person desiring to be heard or to be admitted as a party to such proceeding shall file a notice to that effect with the Commission on or before March 1, 1940.
The matter concerned herewith is in regard to the issue and sale by said West Penn Power Company of $5,000,000
principal amount of 3% First Mortgage Bonds due March 1, 1970 and 24,923
shares of $100 par Cumulative 4x/2%
Preferred Stock. Applicant has desig nated Section 6 b of the Act as ap plicable to the above transaction.
