thereunder, because it establishes a due, fee, or other charge imposed by the Exchange.
At any time within 60 days of the filing of such proposed rule change, the Commission summarily may temporarily suspend such rule change if it appears to the Commission that such action is necessary or appropriate in the public interest, for the protection of investors, or otherwise in furtherance of the purposes of the Act. If the Commission takes such action, the Commission shall institute proceedings under Section 19b2B 24 of the Act to determine whether the proposed rule change should be approved or disapproved.

Commission and any person, other than those that may be withheld from the public in accordance with the provisions of 5 U.S.C. 552, will be available for website viewing and printing in the Commissions Public Reference Room, 100 F Street NE, Washington, DC 20549 on official business days between the hours of 10:00 a.m. and 3:00 p.m. Copies of the filing also will be available for inspection and copying at the principal offices of the Exchange. I. Self-Regulatory Organizations Statement of the Terms of Substance of the Proposed Rule Change The Exchange proposes to amend the Exchanges transaction credits at Equity 7, Section 118a, as described further below.

II. Self-Regulatory Organizations Statement of the Purpose of, and Statutory Basis for, the Proposed Rule Change In its filing with the Commission, the Exchange included statements concerning the purpose of and basis for the proposed rule change and discussed any comments it received on the proposed rule change. The text of these statements may be examined at the places specified in Item IV below. The Exchange has prepared summaries, set forth in sections A, B, and C below, of the most significant aspects of such statements.
A. Self-Regulatory Organizations Statement of the Purpose of, and Statutory Basis for, the Proposed Rule Change 1. Purpose The purpose of the proposed rule change is to amend the Exchanges schedule of credits, at Equity 7, Section 118a.
Presently, in Equity 7, Section 118a, the Exchange offers several credits that are based, in part, upon members activities in securities priced at or more than $1 relative to total Consolidated Volume. 3
3 Pursuant to Equity 7, Section 114h, the term Consolidated Volume shares the meaning of that term set forth in Equity 7, Section 118a. Equity 7, Section 118a defines Consolidated Volume to mean the total consolidated volume reported to all consolidated transaction reporting plans by all exchanges and trade reporting facilities during a month in equity securities, excluding executed orders with a size of less than one round lot. For purposes of calculating Consolidated Volume and the extent of a members trading activity the date of the annual reconstitution of the Russell Investments Indexes is excluded from both total Consolidated Volume and the members trading activity. Unlike Section 118a, however, Section 114h states that, for purposes of calculating a members qualifications for Tiers 1 and 2 of the QMM Program credits set forth in Equity 4, Section 114e, the Exchange will calculate a members volume and total Consolidated Volume twice. First, the Exchange will calculate a members volume and total Consolidated Volume inclusive of volume that consists of executions in securities priced less than $1.
