the City Council to order and noted that pursuant to lllinois Executive Order 2020-07, issued by Governor JB Pritzker on March 16, 2020, suspending provisions of the
Open Meeting Act and encouraging remote participation, this meeting was being conducted by videoconference. SECTION 1. The City Council of the City the "City Council" hereby finds that all of the recitals contained in the preambles to this ordinance are full, true and correct and does incorporate them into this ordinance by this reference.
SECTION 2. The City reasonably expects to reimburse or pay the Expenditures with proceeds of one or more series of Obligations.
SECTION 3. The maximum principal amount of the Obligations expected to be issued for the Expenditures is $100,000,000.

SECTION 4. All actions of the officers, agents and employees of the City that are in conformity with the purposes and intent of this ordinance, whether taken before or after the adoption hereof, are hereby ratified, confirmed and adopted.
SECTION 5. The City Council hereby appropriates $100,000,000 from Fund Number 100
the "Corporate Fund" of the City for the purpose of paying the costs of the Expenditures.
The City shall reimburse the Corporate Fund for any amounts so used to pay the costs of the Expenditures from the proceeds of the Obligations upon the issuance thereof.
SECTION 6. To the extent that any ordinance, resolution, rule, order or provision of the Municipal Code of Chicago, or part thereof, is in conflict with the provisions of this ordinance, the provisions of this ordinance shall be controlling. lf any section, paragraph, clause or provision of this ordinance shall be held invalid, the invalidity of such section, paragraph, clause or provision shall not affect any of the other provisions of this ordinance.

This ordinance shall be published by the City Clerk, by causing it to be printed in special pamphlet form at least five copies hereof, which copies are to be made available in her office for public inspection and distribution to members of the public who may wish to avail themselves of a copy of this ordinance.
SECTION 8. This ordinance shall be in full force and effect from and after its adoption and approval by the Mayor, and publication.

WHEREAS, Pursuant to an ordinance the "TlF Ordinance" adopted by the City Council on February 16,2000, and published at pages 25063 --25162 ofthe Journal ofsuch date, tax increment allocation financing was adopted pursuant to the Act as a means of financing certain Area redevelopment project costs as defined in the Act incurred pursuant to the Plan; and

WHEREAS, The City owns the Property; and
WHEREAS, The appraised fair market value of the Property is Four Million and no/100
Dollars $4,000,000.00, and Bickerdike has submitted a proposal to the Citys Department of Housing DOH", pursuant to which Bickerdike would acquire the Property for $1.00 and then immediately convey the Property to the Borrower for use in the Project; and WHEREAS, The Project is necessary for the redevelopment of the Area; and
WHEREAS, The Borrower, the General Partner and Bickerdike hereinafter collectively referred to as the "Developer" have proposed to undertake the Project and DOH is willing to have the Developer undertake the Project in accordance with the terms and conditions of a proposed redevelopment agreement "Redevelopment Agreement" to be executed by the Developer and the City, with the Project to be financed in part by certain pledged incremental taxes deposited from time to time in the Fullerton/Milwaukee Tax lncrement Financing Redevelopment Project Area Special Tax Allocation Fund for the Area the "TlF Fund"
pursuant to Section 5111-74.4-8b of the Act "lncremental Taxes"; and
WHEREAS, Pursuant to its Resolution 19-CDC-20 adopted by the Community Development Commission of the City of Chicago the "Commission" on November 12, 2019, the Commission authorized DOH to advertise its intent to negotiate the sale and redevelopment of the Property with the Developer and to request alternative proposals, and recommended the following: the sale of the Property to the Developer, the designation of the Developer as the developer for the Project and the authorization to negotiate, execute and deliver on behalf of the City the Redevelopment Agreement, if no responsive alternative proposals were received at the conclusion of the advertising period, or if alternative proposals were received, if DOH determines in its sole discretion that the Developers proposal.is the best proposal; and it is desired forthe Citys Department of Planning and Development "DPD" to negotiate, execute and deliver the Redevelopment Agreement; and WHEREAS, By Resolution Number 19-Q54-21, adopted on October 17,2019, the Chicago Plan Commission approved the disposition of the Property; and
WHEREAS, Public notices advertising the Citys intent to enter into a negotiated sale of
the Property with the Developer and requesting alternative proposals appeared in the Chicago Sun-Times on February 28, 2020; March 6, 2020; and March 13, 2020, and WHEREAS, No other responsive proposals were received by the deadline set forth in the aforesaid notices; and WHEREAS, The City has certain funds available from a variety of funding sources "MultiFamily Program Funds" to make loans and grants for the development of multi-family residential housing to increase the number of families served with decent, safe, sanitary and affordable housing and to expand the longterm supply of affordable housing, and such Multi-Family Program Funds are administered by DOH; and

WHEREAS, DOH has preliminarily reviewed and approved the making of a loan to the Borrower in an amount not to exceed $2,000,000 the "Affordable Housing Loan", to be funded from lt/ulti-Program Funds pursuant to the terms and conditions set forth in Exhibit A attached hereto and made a part hereof; and
WHEREAS, The lllinois General Assembly, pursuant to 20 ILCS 38051728 as supplemented, amended, and restated from time to time, has authorized a program allowing the allocation of certain tax credits for qualified donations made in connection with affordable housing projects the "Donation Tax Credit Program"; now, therefore, Be lt Ordained by the City Council of the City of Chicago
SECTION 1. lncorporation Of Recitals. The recitals contained in the preambles to this Ordinance are hereby incorporated into this Ordinance by this reference.
SECTION 2. Findings And Determinations. The City Council hereby finds and determines that the delegations of authority that are contained in this Ordinance, including the authority to make the specific determinations described herein, are necessary and desirable because the City Council cannot itself as advantageously, expeditiously or conveniently exercise such authority and make such specific determinations. Thus, authority is granted to the Authorized Officer as defined in Section 3 to establish the terms of the Funding Loan Agreement, the Notes, the Borrower Loan Agreement and the Borrower Notes on such terms as and to the extent such officer determines that such terms are desirable and in the best financial interest of the City. Any such designation and determination by an Authorized Officer shall be signed in writing by such Authorized Officer and filed with the City Clerk and shall remain in full force and effect for all purposes of this Ordinance unless and until revoked, such revocation to be signed in writing by an Authorized Officer and filed with the City Clerk.

SECTION 3. Authorization Of The Funding Loan Agreement, The Notes, The Borrower Loan Agreement And Related Agreements. Upon the approval and availability of the additional financing as shown in Exhibit A the "Additional Financing", the execution and delivery of the Funding Loan Agreement and the issuance of the Notes in an aggregate principal amount not to exceed $24,000,000 are hereby authorized. The aggregate principal amount of the Notes to be issued, and their division into one or more series of Notes, shall be as set forth in the Funding Loan Notification referred to in Section 6 below.

The Funding Loan Agreement and the Notes shall contain a provision that they are executed and delivered under authority of this Ordinance. The maximum term of the Funding Loan shall not exceed 34 years from the date of execution and delivery of the Series
A Note, and the maximum term of the Series B Note shall not exceed four 4 years from the date of execution and delivery of the Series B Note. The Notes shall bear interest at a rate or rates equal to the rate of interest on the related Borrower Loans as provided in the Borrower Loan Agreement which shall not exceed 10 percent and shall be as determined by an Authorized Officer and shall be payable on the payment dates as set forth in the Funding Loan Agreement and the Funding Loan Notification. The Notes shall be dated, shall be subject to prepayment, shall be payable in such places and in such manner and shall
